Facts (What Happened?)

  • The Setup: A firm was formed with 6 partners. K.D. Kamath supplied the capital/finance, while the other 5 partners were working partners providing labor.

  • The Restriction: The partnership deed gave 100% management and control to K.D. Kamath. The other 5 partners could not raise loans, pledge assets, or make major business decisions without his written permission.

  • The Dispute: The Income Tax Officer (ITO) refused tax registration to the firm, claiming it wasn’t a real partnership—it looked like K.D. Kamath was the sole owner and the others were just employees.

  • High Court View: Agreed with the Income Tax department. It held that since working partners had no management power, there was no mutual agency.

  • When K.D. Kamath managed the business, he was doing so on behalf of all partners. Therefore, mutual agency existed. Unequal management rights do not turn partners into mere employees.

 

Note: As per Section 4 of the Indian Partnership Act, 1932, partnership is defined as,

‘Partnership is the relation between persons who have agreed to share the profits of the business carried on by all or any one of them acting for all’.
